1. Parties
1.1. The party to the Agreement is Rather Labs Inc. domiciled at 2810 N Church St, Wilmington, Delaware, US, hereinafter referred to as “Huntify” or “RL” interchangeably. User shall be understood as provided in the definition contained in point 2.
1.2. Huntify and User are referred to as "Parties" collectively and as "Party" individually.
2. Definitions
For these Terms and Conditions (hereinafter "TyC"), it will be understood as:
"Interviewee" is a natural person who voluntarily agrees to participate in the interviews derived by the User, through the use of Hunfity.
"Huntify" is an application that using artificial intelligence simulates the interaction of the User with a human person, according to the definitions contained in point 6.1 of these T&C.
"User" means any natural or legal person using Huntify, purchasing in his or her own name and account or on behalf of third parties, and at his own cost;
"Service" is any action performed by Huntify on behalf of Users. This Service may be modified in the future, and the User must review these Terms and Conditions periodically;
“Site” means the Huntify web page hosted on the domain https://huntify.ai.
3. Amendments / Updates to the Terms and Conditions
Hunfity will have the right and authorization to change or update the terms and conditions contained in this document and in the Privacy Policy, which are accepted at the time of use of the Service, at any time, either partially or completely. The User may not allege, demand or declare that Huntify has not notified them of the referred changes and updates, or the referred changes and updates may not be applicable to the User, if the User has been notified directly by Huntify or has accessed the Site in any way directly / indirectly after changes and updates.
4. Improvement of the Terms and Conditions. Validity.
4.1. By using the Huntify Services, and/or accessing the Site, registering and hiring and participating in interviews conducted by Huntify; the User and the Interviewee declare that they have read, understood and accepted these terms and conditions in all their parts and it will enter into force and it will be considered that both Parties have agreed to be legally bound.
4.2. These Terms and Conditions will remain in force and will bind the Parties as long as the User complies with all the obligations under his/her charge, as long as the User continues to use the Services and, for that matter, keeping his account valid with the Huntify payment.
4.3. The User may cancel their Membership by entering https://www.mercadopago.com.ar/subscriptions, in the case of having chosen to pay through Mercado Pago, or by visiting https://billing.stripe.com/p/ login/9AQeVsexYcr16OceUU, in the case of using Stripe in the payment of your Membership. If Huntify determines that User violates any provision of these Terms and Conditions and/or Privacy Policy in whole or in part, Hunfify may suspend User's account permanently/temporarily and/or terminate these Terms and Conditions immediately without notice and without incur no liability for damages of any kind.
5. Use of Content / Services and Obligations of Huntify related to the User Account
5.1. Use of User Accounts
5.1.1. The User and the Interviewee must accept and guarantee to provide the complete and accurate information that is required by Huntify, in accordance with these Terms and Conditions and/or the Privacy Policies. Likewise, you must keep the information updated when the User and/or the Interviewee use the Huntify services in any way.
5.1.2. In no case will the User have the right to allow third parties to use the Service, either permanently or temporarily, without the proper authorization of RL and/or its representatives. Otherwise, Huntify may suspend the respective User's account permanently or temporarily.
5.1.3. The User will be, in the case of not having the proper authorization, the only person responsible for the consequences of allowing third parties to use their account. In no event will Huntify be liable for misuse by third parties using the User's account, whether permanently/temporarily or partially/completely.
5.1.4. The User must accept and guarantee that they will not share their account information with any third party, to protect and keep the referred information confidential and to notify Huntify immediately in the event of a security breach. Huntify is not responsible for any damages, losses, costs and any other adverse results arising from such unauthorized use.
5.1.5. In addition to these Terms and Conditions, the User and the Interviewee, when using the service, declare that they have read and accepted the Privacy Policy. In this way, the User and the Interviewee guarantee compliance with these Terms and Conditions, the Privacy Policy, any other rules and regulations of Huntify, the laws and regulations applicable when using the Huntify Services. In this sense, the User guarantees that he will be solely responsible for his own actions and for the use of the tool provided by Huntify, releasing RL from any kind of responsibility.
5.1.6. The User agrees not to violate, reverse engineer, decompile, reverse, disassemble or otherwise exploit the Site and/or Huntify and/or its contents/services. Additionally, the User accepts that he will not provide help and assistance to others in relation to the referred actions.
5.1.7. By using the Huntify Services, User warrants not to transfer, communicate, post, display, save, post, send, forward, maintain, provide access to any content that is construed as unlawful, harassing, threatening, harmful, tortious, defamatory, abusive, rude, containing violence, slang, pornographic, sexually offensive, interference with the privacy of others, racist or humiliating, ethnic identities or similar inconvenience to Huntify, its affiliates, directors, employees, other Users and any other third party, guaranteeing not to use the Huntify Services in the manner referred to.
6. Description of the Service
6.1. Huntify is a program that using artificial intelligence simulates the interaction with a human person, in order to conduct an interview through the use of videographic means with any human person named in these terms and conditions as Interviewee.
The User must inform Huntify of the profile of the position to be filled together with its technical requirements, so that Huntify can conduct the interview with the Interviewee, where it will measure the level of knowledge, degree of responses, presentation to Huntify and any other data of interest that is required by the User.
The User must provide the Interviewee with a link where he must enter so that Huntify can carry out the interview.
The Interviewee must have a webcam in order to access the interview conducted by Huntify.
Once the interview is finished, within a period of 5 days, Huntify will issue a report to the User with the result of the interview with the Interviewee, reporting strengths and aspects to improve, along with the result of the technical examination required by the User to be eligible. for the position sought by the latter, on a scale of 1 to 10, with 1 being the lowest level and 10 the highest.
6.2. The User accepts that the decision to advance or not in the selection process of the Interviewee remains under his sole responsibility. I feel that Huntify is a personnel selection tool designed to facilitate the process.
7. Payments
7.1. The services provided by Huntify require payment from the User. Huntify will have the exclusive right to determine which Services require payment and in what way and for how long this determination will continue, with the User having to check the Site from time to time, where updates will be posted.
7.2. It is stated that the prices reported on the Site are final, with taxes included.
Said charges may be modified, which will be notified through Huntify and/or by the Site, indistinctly.
The prices are expressed in Argentine Pesos or in US Dollars, according to the chosen payment platform. The prices are informed on the Site. For more information, you should consult the terms and conditions of the chosen payment platform.
7.3. Huntify may be paid, at the User's choice, through the Mercado Pago platform (www.mercadopago.com.ar) or Stripe (www.stripe.com) and the User must consult the terms and conditions of each of said platforms. payment method options (debit, credit, money in account). Likewise, said platforms may require the provision of personal data, so it is also recommended to review the privacy policy of each of said sites.
7.4. RL informs that it has designated FyF & Asociados SRL, located at Padilla 1276, CABA, Argentine Republic, CUIT 30-71789845-8, as a company authorized to market the detailed Services within the territory of the Argentine Republic.
8. Privacy
8.1. By accepting these Terms and Conditions, the User is deemed to have accepted and is bound by the Privacy Policy, which is an integral part of these Terms and Conditions.
8.2. Mercado Pago and/or Stripe may require the User personal information such as full name, type and number of identity document, credit / debit card number, card expiration, security code, and an email. Said data will be processed by said payment platform, and the User must consult the Privacy and Data Protection Policies that apply to each site.
9. Intellectual Property Rights
9.1. Huntify is a trademark registered by its owners, so its reproduction, use in any way, without proper authorization, may result in a violation of current legislation, with the User being responsible for any damages caused.
9.2. All the brands mentioned in these Terms and Conditions turn out to be trademarks registered by their owners, their reproduction, use, and/or commercialization being expressly prohibited without having the proper authorization.
10. Compensation and Appeal
THE USER HEREBY AGREES TO INDEMNIFY AND HOLD RL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, FROM LIABILITY, FROM AND AGAINST ALL TYPES OF ACTIONS, LAWSUITS, LITIGATION, DAMAGES, LOSSES, COSTS AND/OR EXPENSES (INCLUDING FEES THE LAWYERS), DIRECTLY/INDIRECTLY CAUSED BY YOUR USE, MISUSE, INABILITY TO USE OR ABUSE THE SERVICE, OR YOUR BREACH OF THESE TERMS AND CONDITIONS, PRIVACY POLICY OR ANY OTHER TYPE OF RULES AND PRINCIPLES, OR LAWS AND/OR OTHERWISE LEGAL RULES AND REGULATIONS, WHETHER INTENTIONAL, NEGLIGENT OR OTHERWISE.
11. Limitation of Liability
11.1. IN NO EVENT SHALL HUNTIFY BE LIABLE TO THE USER, RESPONDENT OR ANY THIRD PARTY RELATED TO THE USER OR THE GENERAL PUBLIC, FOR ANY DAMAGE, LOSS OF CHANCE, LOST PROFITS, AND/OR ANY OTHER DAMAGES THAT MAY ARISE FROM USER USE, ABUSE, INABILITY TO USE, MISUSE OF THE SITE AND/OR HUNTIFY.
12. Force Majeure
Huntify shall not be liable for any failure or delay in performance of these Terms and Conditions (including but not limited to Huntify's failure to perform its obligations) due to force majeure, reasonably unforeseeable events occurring outside of Huntify's control (including but not limited to acts of nature, war, terrorist attack, rebellion, embargo, acts, decisions and regulations of civil or military authorities, fires, floods, accidents, strikes, limitation of transportation facilities or lack of fuel , energy, work or materials).
13. Relationship Between the Parties
These Terms and Conditions shall not constitute or be construed as the establishment of a joint venture, partnership, agency, employment or any other similar relationship between the Parties. These Terms and Conditions will not affect any other prior agreements between the Parties, as long as these prior agreements do not contravene the provisions of these Terms and Conditions.
14. Partial Disability
If any provision contained in these Terms and Conditions is found to be illegal or unenforceable for any reason, that provision will be replaced with a valid one to the maximum extent permissible in order to pursue the intention of the Parties and the rest of these terms and Conditions will remain in full force and effect. However, if the clause is determined to be illegal or unenforceable or cannot be restated, it is agreed that the clause in question would be severable from the rest of the provisions of these terms and conditions and that determination will not affect the validity and enforceability of these provisions. remaining.
15. No Waiver
15.1. The lack of compliance by RL in execution of any provision contained in these terms and Conditions will never be interpreted as a waiver or will not constitute a relinquishment of the right of the Parties to affirm or rely on the provision in question or on any other provision of these terms. and Conditions.
15.2. RL's explicit waiver of any provision of these Terms and Conditions shall never constitute Huntify's waiver of its obligation to act in accordance with the provision in question in the future.
16. Applicable Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the Laws of Delaware, United States. The Parties give their consent to the exclusive jurisdiction of the Courts of said jurisdiction, waiving another class of jurisdiction or jurisdiction.
